Terms & Conditions
1. Introduction
Welcome to Attention To Detail Limited ("we", "our", "us"). These Terms and Conditions govern your use of our payroll umbrella services and constitute a legally binding agreement between you (the "Client") and Attention To Detail Limited. By engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
2. Our Services
Attention To Detail Limited provides payroll umbrella services including payroll processing, PAYE administration, tax filing and HMRC compliance, pension auto-enrolment, benefits administration, reporting, and related support services. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice where practicable.
3. Client Obligations
The Client agrees to provide accurate, complete, and timely information necessary for payroll processing. The Client must notify us promptly of changes to employee details, pay rates, tax codes, or employment status. The Client remains responsible for ensuring sufficient funds are available to meet payroll liabilities and associated fees. Failure to provide accurate information may result in errors for which we shall not be liable.
4. Fees and Payment
Service fees will be agreed in writing prior to commencement. All fees are payable in accordance with the agreed payment schedule and are exclusive of VAT unless stated otherwise. Payment must be received before payroll processing begins. Late payment may result in additional charges and suspension of services. We reserve the right to review fees annually or upon changes to service scope.
5. Confidentiality
We treat all client and employee information as strictly confidential and implement appropriate security measures to protect data. Information will only be disclosed where required by law or regulatory obligation. Confidentiality obligations apply during the term of the agreement and continue after termination.
6. Data Protection
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We act as a data processor in relation to payroll data and process information solely for the purpose of delivering agreed services. Data is retained only for as long as legally required or necessary to fulfil contractual obligations.
7. Limitation of Liability
We shall exercise reasonable care and skill in providing our services. Our liability for any claim arising from our negligence or breach of contract shall be limited to the fees paid for the specific service giving rise to the claim. We shall not be liable for indirect or consequential losses, including loss of profit, loss of revenue, or reputational damage. We are not responsible for errors resulting from inaccurate or incomplete information supplied by the Client.
8. Force Majeure
We shall not be liable for failure or delay in performing our obligations where such failure arises from events beyond our reasonable control, including but not limited to acts of government, HMRC system failures, banking disruptions, cyber incidents, natural disasters, or industrial disputes.
9. Termination
Either party may terminate this agreement by providing not less than 30 days’ written notice. We may terminate services immediately where fees remain unpaid, where the Client breaches these Terms, or where continued service would breach legal or regulatory requirements. Upon termination, all outstanding fees become immediately payable.
10. Intellectual Property
All intellectual property rights in our systems, processes, documentation, reports, templates, and materials remain the exclusive property of Attention To Detail Limited. Clients are granted a non-transferable licence to use materials provided solely for internal business purposes.
11. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede any prior agreements, discussions, or representations, whether written or oral.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13. Assignment
The Client may not assign or transfer any rights or obligations under this agreement without prior written consent from Attention To Detail Limited.
14. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
